  • Commencement of Membership

    • The contract between the ‘Member’ and the Association for Citizenship Teaching (‘ACT’) starts on the date the Member makes payment (where payment is due) for Membership (the “Commencement Date”) and continues, unless terminated earlier, under these Terms
    • Membership runs for one year (‘Initial Term’) and will not auto-renew. 

 

  • Supply of Membership

    •  ACT will provide membership benefits from the Commencement Date in accordance with these Terms.
    • During membership, Members must:
      • Comply with ACT’s Membership Rules (see section 11)
      • Cooperate with ACT on matters relating to membership
      • Not share ACT resources or materials with non-members without prior written consent.
    • ACT reserves the right to change rates, benefits and options at any time.

 

  • Charges and Payment

    • Membership fees (‘Charges’) are payable in accordance with ACT’s published rates.
    • Payment methods vary by membership tier and agreement with ACT.
    • Invoices must be paid in full within 30 days of issue. Late or unpaid fees will result in suspended access or the cancellation of invoice.

 

  • ACT CPD and Events

    •  All ACT CPD Events are available on a first-come, first-served basis. Should there be a limited number of places at each event these will be allocated in order of receipt of bookings. Some events may operate a waiting list. Registration of interest can be placed over the telephone, via email or in writing before booking has been opened, but please note that this does not constitute reservation of a place and a booking will still need to be made. 
    • Event registration will be activated at the point of receipt of an order confirmation email. This will come directly from ACT. Please note that this does not confirm the event will go ahead.
    • Each event registration must be registered with the direct name and email address of the person attending the event. The names of school administrators or generic office email addresses cannot be accepted. If you are a school bursar booking on behalf of a colleague, please make sure to enter the delegate’s direct contact details. Failure to do so may result in the intended recipient not getting the pre-event communication, but still being charged.
    • Pricing for all CPD training and events are individually advertised. Free or discounted event fees may be offered to paid members as perks of their membership. The benefit is reserved for the individuals connected to that membership or institution if there is an organisational membership in place.
    • To claim event discounts, members must ensure they use the relevant discount codes and book their place during a live membership period. The discount cannot be claimed should their membership have lapsed.
    • ACT accepts online payments for CPD via Stripe using credit/debit card.
    • The price of events listed is not subject to Value Added Tax (VAT) unless specified otherwise.
    • Prices are liable to change at any time, but changes will not affect bookings which have already been confirmed, except in cases of obvious error.
    • We reserve the right, from time to time, to run special promotional offers on events. Special offers may include, but are not limited to, price promotions. In the event of a special offer, additional terms and conditions may apply which will be made available at the time of booking. Any places booked at an event prior to the special offer will not be offered the promotion retrospectively, unless specifically agreed by ACT.
    • For in-person courses, unless otherwise stated, the fee for a whole day event covers lunch and refreshments throughout the day plus all accompanying materials. 
  • Event cancellations and refunds

    • We are able to cancel bookings and honour refund requests made up to 30 days before an event. All cancellations must be confirmed in writing via email to info@act.studiorepublic.com. If you discover you cannot attend within 30 days of the booked event, you can either nominate someone else to take your place, or you can transfer the value of your order to another event.
    • Pre-recorded sessions are not eligible for cancellation or refunds.
    • With less than 30 days’ notice, we are unable to offer any refund if an event is cancelled by you or your school/college, or not attended. 
    • We will try to refund any money received from you using the same method originally used by you to pay for your purchase, but reserve the right to refund using an alternative method. If this is the case, we will require you to complete a refund request form.
    • We reserve the right to cancel or postpone events when viable numbers are not reached and will do our best to rearrange dates wherever possible. If, for any reason, we need to cancel or postpone the event, you will be contacted as soon as possible using the contact details provided when booking.
    • We are not able to refund any travel or accommodation costs incurred by you (or your school/college) should arrangements be made and the event is subsequently cancelled or postponed.
    • Where an event is operating a waiting list, cancellations should be made as early as possible to allow the place to be offered to those held on the waiting list.
    • We reserve the right to make changes to the published programme of an event (but not the overall content), for example, to timings and/or speakers if one of the advertised speakers is unable to attend. In such cases, you will not be entitled to a refund if you cancel your place.
    • Whilst there is no entitlement, in the event of exceptional circumstances during a multi-event course, ACT’s practice is to allow partial refunds based on the number of sessions remaining.
    • We will not be liable or responsible for any cancellation or delay to an event that is caused by events outside our reasonable control (“Force Majeure Event”). A Force Majeure Event includes any act, event, non-happening, omission or accident beyond our reasonable control and includes in particular (without limitation):
      • Strikes, lock-outs or other industrial action;
      • Civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war;
      • Fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster;
      • Impossibility of the use of public or private transport;
      • Impossibility of the use of public or private telecommunications networks; and
      • The acts, decrees, legislation, regulations or restrictions of any government.
    • We will use our reasonable endeavours to find a solution by which the event should take place despite the Force Majeure Event, and will keep you notified at all times.
  • Limitation of Liability

    • Nothing in these Terms limits ACT’s liability for death/personal injury caused by negligence, or for fraud. ACT’s total liability is limited to the amount of the membership fee paid.

 

  • Data Protection

 

  • Intellectual Property

    • ACT retains all intellectual property rights in its materials.
    • Members are granted a non-exclusive, non-transferable, revocable licence to use ACT materials for personal/professional use during membership.
    • Members may only distribute resources to their own school community, as provided by ACT, and must not upload any ACT materials to public websites/portals or indeed shared with linked schools as part of the same multi-academy trust (MAT) or local authority.

 

  • Termination

    • ACT may terminate membership with one month’s notice, or immediately if fees remain unpaid.
    • Either party may terminate for material breach, insolvency, or similar events.

 

  • General

    • Force Majeure: Neither party is liable for events beyond reasonable control.
    • Variation: ACT may amend these Terms with 30 days’ notice; continued membership constitutes acceptance.
    • Assignment: Members may not transfer membership without ACT’s written consent.
    • Governing Law: These Terms are governed by the law of England and Wales; disputes fall under its courts.

 

  • Definitions

    • ‘Charges’ – membership fees payable to ACT.
    • ‘Member’ – the person or organisation joining ACT.
    • ‘ACT Materials’ – all resources and materials produced by or for ACT.
    • ‘Membership’ – ACT’s services and benefits provided under these Terms.

 

  • Interpretation

    • References to the singular include the plural; references to one gender include all genders; “including” means “including but not limited to”.

 

  • Membership Rules and Conduct

    • Members agree:
      • Uphold ACT’s values and to behave in a manner that is consistent with our member code conduct set out in this section (12) and the terms of use of ACT’s website (13) . Members found to be in breach of the code of conduct may have their membership withdrawn. The dispute resolution process is set out in section 14.
      • Treat all people with respect and dignity and respect all people’s rights. 
      • Be accountable for my actions and will not use unequal power relationships for my own benefit.
      • Maintain professional boundaries with other members and ACT staff and act with professionalism at ACT events and meetings. 
      • Not to say or do anything that would damage the reputation of ACT, or which may bring the charity/organisation into disrepute including via social media. 
      • Whilst acknowledging that effective media coverage of ACT activities is pivotal to the success of our work, I will not give interviews or provide information to the media about any work I am involved with for ACT,  unless I have been specifically authorised to do so. I will not disclose information that is confidential or may be used to harm ACT or any individual. 
      • Not share ACT member-only logins or resources with non-members. Additional users can be added to School and College and Organisation members via the lead account’s dashboard.
      • Use membership benefits solely within their organisation (for organisational memberships).
      • Not imply ACT endorsement of themselves or their organisation without written consent.
      • Follow ACT’s event booking and conduct policies.
      • Not sell ACT memberships or benefits without prior permission.
      • Bookings for events and CPD are subject to ACT’s CPD and events conditions. (See section 4).

 

  • Website Terms of Use

    • Your use of this site constitutes acceptance of these terms and conditions, which take effect on the first day of use of the site.
    • Use ACT’s website lawfully and without infringing others’ rights.
    • Do not restrict or inhibit anyone else’s use and enjoyment of the site and do not engage in conduct that:
      • Is unlawful
      • Is in breach of our code of conduct
      • Harasses, causes distress, or inconveniences others
      • Involves transmitting obscene or offensive material
      • Disrupts the normal flow of dialogue within the site
      • Copyright in all materials is owned by ACT; reproduction without permission is prohibited except for personal, non-commercial use.
      • The content of this site is provided for the purposes of your personal, non-commercial use. 
      • All photographs are copyright of ACT. Children appearing in photographs on this site are either models or we have the permission of their parents or guardians.
      • ACT is not responsible for third-party websites linked from its site.
      • ACT is not liable for any damages arising from website use; users’ sole remedy is to stop using the site.
      • 13.9. Accuracy: While ACT takes care to ensure content accuracy, it accepts no liability for errors.

 

  • Dispute Resolution

    • If any dispute arises between a Member and ACT in connection with these Terms, both parties agree to first seek to resolve the matter informally. The Member should contact ACT in writing, outlining the nature of the dispute and providing all relevant details. ACT will respond in writing within 14 days of receipt.
    • If the matter cannot be resolved informally within 30 days of ACT’s initial written response, either party may escalate the dispute to ACT’s senior management. A senior representative will review the matter and respond in writing within a further 14 days.
    • If the dispute remains unresolved after escalation, both parties agree to consider mediation as a means of reaching a mutually acceptable outcome. Mediation will be conducted by an independent mediator agreed upon by both parties, and the costs of mediation will be shared equally unless otherwise agreed in writing.
    • Nothing in this section prevents either party from seeking urgent relief through the courts where necessary (for example, to protect intellectual property rights or confidential information). Any court proceedings will be subject to the governing law and jurisdiction set out in these Terms.
